These Terms of Service ("Terms") govern your access to and use of MixPass (accessible at mixpass.co), operated by Velveteen Technologies Inc. ("we", "us", or "our"), a British Columbia corporation.
By accessing, browsing, or using MixPass, you agree to be bound by these Terms. If you do not agree, you must discontinue using the service.
1. Service Description
MixPass is an audio collaboration platform providing private listening rooms for creators, producers, songwriters, and artists to organize musical works in progress. The service allows account owners to upload mix versions, attach production context, track contributor credits, and invite collaborators to participate in timestamped feedback.
2. User Accounts and Authentication
To create rooms, upload audio, and save credits, you must register an account. You may register using your email address or through third-party authentication providers such as Google OAuth.
You are responsible for safeguarding your login credentials and for all activity conducted through your account. You agree to notify us promptly at support@mixpass.co if you suspect any unauthorized access to your account.
3. Intellectual Property and Content Ownership
You retain 100% exclusive ownership and all copyright in and to any audio recordings, musical works, mix passes, lyrics, credits, artwork, and commentary you upload to MixPass.
By uploading content, you grant Velveteen Technologies Inc. only the limited, non-exclusive, worldwide, royalty-free license strictly necessary to host, store, stream, and transmit your files to you and the collaborators you authorize. We do not acquire any proprietary or publishing interest in your musical works, nor do we use your audio to train artificial intelligence models.
4. Acceptable Use Policy
You agree to use MixPass only for lawful purposes. You agree not to:
- Upload audio recordings or content that infringes upon the intellectual property or privacy rights of any third party.
- Upload malicious code, viruses, corrupted audio files, or tools intended to compromise service integrity.
- Attempt to bypass access controls, authentication mechanisms, or row-level database security.
- Engage in harassment, abusive behavior, or spam in listening room discussions.
- Reverse engineer, decompile, or copy the underlying proprietary code of MixPass.
We reserve the right to suspend or remove accounts or content that violate this Acceptable Use Policy.
5. Service Availability and Storage Limits
We strive for continuous, reliable availability, but do not warrant that the service will be uninterrupted or error-free. We may periodically perform maintenance, apply updates, or adjust technical specifications.
Account tiers and upload limits (such as file size caps per audio pass) are applied to ensure system stability. We reserve the right to modify storage allowances upon reasonable notice.
6. Disclaimer of Warranties and Limitation of Liability
MixPass is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by applicable law, Velveteen Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data, arising out of your access to or use of the service.
7. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or related to these Terms shall be resolved in the courts located in British Columbia, Canada.
8. Modifications to Terms
We may update these Terms periodically. If revisions are material, we will provide notice via email or a prominent banner on the platform prior to the changes taking effect. Continued use of MixPass following such notice constitutes your acceptance of the updated Terms.
